Terms of Use
Last updated 3 November 2026
1. About these terms
These terms govern your use of the WinepackOS platform at winepackos.com. The platform is operated by Delivering Happiness Limited, a company registered in England and Wales under company number 10490062, whose registered office is at Donald Reid Group Limited, 1010 Eskdale Road, Winnersh Triangle, Wokingham RG41 5TS, United Kingdom, trading as WinepackOS. In these terms "we", "us" and "our" mean Delivering Happiness Limited.
By using the platform you accept these terms. If you do not accept them, please do not use it.
How we handle personal information is set out separately in our privacy policy at winepackos.com/privacy.
2. The platform is for business users
WinepackOS is a business-to-business service. By using it you confirm that you are acting in the course of a business and not as a consumer, and that you have authority to act for the organisation whose details you give us. Rights that apply to consumers do not apply to your use of the platform.
3. Access
Access is by invitation. An access code is issued to an organisation rather than to an individual, and must not be shared outside it. You are responsible for everything done using your code, and you must tell us promptly if you believe it has been shared or misused.
We may refuse an access request, and we may suspend or withdraw access at any time without notice.
4. What the platform does
The platform lets you configure a packaging specification, see indicative pricing build as you do so, download a quotation, and send an enquiry to manufacturers and fillers who may be able to meet it. It does not sell goods, take payment, or conclude a contract.
5. Pricing and quotations
Prices shown in the configurator are indicative. They are generated from the inputs you give, and they are not an offer capable of acceptance. They depend on the accuracy of your inputs, on supplier availability, and on prevailing material, freight and energy costs, all of which change.
A quotation is valid for 30 days from the date of issue unless the quotation says otherwise, and remains subject to confirmation, specification review and supplier capacity. Quotations are priced in the currency of the filling location, or of the manufacturing site where you are buying bottles only.
We may correct an obvious pricing or specification error, including after a quotation has been issued.
Prices and quotations are ex works. They cover the goods and services set out in the specification, and exclude freight, insurance, duties, import taxes and any other charge arising after collection. Where you ask us to arrange delivery, we will quote for it separately.
6. Orders and contract formation
Placing an order through the platform is a request to proceed. It does not create a contract and does not oblige us or any supplier to accept it.
A contract comes into existence only when we issue a written order confirmation, and is then governed by the supply terms agreed at that point, which prevail over these terms and over anything shown on the platform. Payment is arranged outside the platform.
7. Suppliers, manufacturers and fillers
Where you order through the platform, you contract with us. We source bottles, closures, labels, cases and filling from our own supply network, and we are responsible to you for that supply under the contract we agree with you. You do not contract with the manufacturer or the filler.
We may pass your specification, volumes, timings and the contact details needed to arrange delivery or resolve a production issue to the manufacturer or filler handling your order.
We select the manufacturer and filler for your order, and may change either where that is needed to meet your specification, volumes or timings. We do not guarantee that a particular supplier, production site or lead time will be available, and anything shown while you configure is indicative.
8. Technical guidance and specifications
Guidance given through the platform on shelf life, oxygen and carbon dioxide barrier, recycled content, closures, recyclability and market requirements is general guidance based on typical conditions. It is not a warranty that a specification will perform in a particular way with your product.
Shelf life depends on the complete pack and on how the wine is made, filled, stored and transported. You are responsible for satisfying yourself that a specification is suitable for your product, for carrying out your own trials where appropriate, and for meeting the labelling, packaging, deposit return and other regulatory requirements of the markets you sell into.
Where you supply your own labels or cases, you are responsible for confirming that they are compatible with the bottle and the filling line.
9. Information you give us
Information you enter must be accurate and complete, and you must keep it up to date. We rely on it when generating pricing, preparing quotations and passing enquiries to suppliers.
10. Acceptable use
You must not use the platform for anything other than genuine packaging enquiries. In particular, you must not:
- share access codes outside your organisation;
- scrape, harvest or systematically extract data from the platform;
- run automated tools or bots against it;
- copy, republish or resell our pricing, product data or supplier information;
- use it to build or inform a competing product or service;
- reverse engineer any part of it;
- attempt to gain unauthorised access to any part of the platform or its underlying systems; or
- introduce malicious code.
11. Confidentiality
Pricing, product data, supplier information and anything else shown through the platform that is not publicly available is our confidential information. You may use it only to evaluate and progress your own packaging project.
We treat the specifications, volumes, pricing and project details you enter as confidential, and share them only as described in our privacy policy and as needed to respond to your enquiry.
Neither of us needs the other’s consent to disclose confidential information where the law requires it.
12. Intellectual property
The platform, its content, product data, configurator logic and pricing models are owned by or licensed to us, and nothing in these terms transfers any right in them.
The bottle designs shown on the platform are the property of Delivering Happiness Limited and/or Delivering Happiness International Pty Ltd, and are protected by registered design or design patent rights in the UK, ANZ, EU, US and other countries.
You keep ownership of what you submit, and grant us a licence to use it so far as is needed to respond to your enquiry and operate the platform.
13. Availability and changes
We aim to keep the platform available but do not guarantee uninterrupted access. We may change, suspend or withdraw any part of it, including products, filling locations, pricing and features, at any time.
We may change these terms, and the current version is always published at winepackos.com/terms.
14. Liability
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded or limited.
Subject to that:
- we are not liable for any loss arising from reliance on indicative pricing, technical guidance or supplier information provided through the platform;
- we are not liable for indirect or consequential loss, or for loss of profit, revenue, contracts, goodwill, product or wasted expenditure; and
- nothing in this clause affects liability under a contract of supply, which is dealt with below.
Where a contract for supply is agreed, liability under that contract is governed by it, not by these terms.
15. Suspension and termination
We may suspend or end your access at any time. The clauses on confidentiality, intellectual property, liability and governing law continue to apply afterwards.
16. General
These terms, together with our privacy policy and any supply contract, form the whole agreement between us on their subject matter. If any clause is found to be unenforceable, the rest continues to apply. A delay in enforcing a term is not a waiver of it. You may not transfer your rights under these terms without our consent; we may transfer ours. No one other than you and us has any right to enforce these terms.
17. Governing law
These terms, and any dispute or claim arising out of or in connection with them, are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
